The ASA
board has been presented with another SGM request. This one has been
slightly modified and is requesting a date of January 21st, 2011.
The grounds for the proposed
resolutions #2 to 8 is that each of the Directors, either individually
or collectively:
Have failed to manage
the affairs of soccer in Alberta in such a way as to maintain a
positive working relationship with its members. The members no longer
have confidence that the current board will be able to move Alberta
Soccer out of its current morass.
The ASA Executive Director has sent a letter to members clarifying the
position of the ASA regarding this new SGM request. To paraphrase, the
ASA Executive Director is saying that the ASA BOD hasn't announced an
SGM date as they are awaiting Justice Tilleman's decision. The
Executive Director has an interesting interpretation of the by-laws,
specifically,
... the BOD has 30 days after
receiving a petition to call an SGM. This means the first request must
be acknowledged by Jan 5, 2011 and the second request by January 20,
2011.
Most people interpret the by-laws as being that the SGM is to be held
within the 30 day time-line. According to the Executive Director of the
ASA the Board can wait the 30 days then call the SGM whenever they
want, all they need to do is announce the date within 30 days. This
seems to be quite a stretch of reasoning.
Further, from the Executive Director:
As ASA's Executive Director,
I confirm that the BOD has not
formally passed a motion regarding the 2011 AGM date. Although January
22, 2011 briefly appeared on the ASA website, the ASA board has not
officially motioned, passed or announced the date.
